Terms of Service

1. The agreement

These terms apply to use of the Kova platform by recruitment agencies and the workers they engage. A separate Master Services Agreement governs the commercial relationship with each agency customer.

2. The service

Kova provides workforce engagement, onboarding, payroll, compliance and reporting tooling. Compliance frameworks supported include PAYE, CIS, IR35, AWR and Right to Work. Kova is not an employment business and does not engage workers itself.

3. Customer responsibilities

Agencies remain the engager of record and are responsible for the accuracy of information provided to Kova, the lawful basis on which workers are engaged, and the contractual arrangement with their end clients.

4. Fees

Fees are charged on a flat weekly basis per worker, set out in the agency's order form. Fees are exclusive of VAT.

5. Availability

Kova targets 99.9% monthly availability for the worker app and operations dashboard, excluding scheduled maintenance and force majeure.

6. Liability

Kova's liability is limited to the fees paid by the agency in the preceding twelve months. We do not exclude liability for fraud or for anything that cannot lawfully be limited.

7. Termination

Either party may terminate on the notice period set out in the order form. On termination Kova will return or delete personal data as instructed by the agency, subject to legal retention obligations.

8. Governing law

These terms are governed by the laws of England and Wales and subject to the exclusive jurisdiction of the courts of England and Wales.
